By using the mealeasy.com web site (“Service”), a service of Noviden Technologies Inc. (“Noviden”), you are agreeing to be bound by the following terms and conditions (“Terms of Service”).

Noviden reserves the right to update and change the Terms of Service from time to time without notice. Any new features that augment or enhance the current Service, including the release of new tools and resources, shall be subject to the Terms of Service. Continued use of the Service after any such changes shall constitute your consent to such changes. You can review the most current version of the Terms of Service at any time at: www.mealeasy.com/terms-of-service.

Violation of any of the terms below will result in the termination of your Account. You agree to use the Service at your own risk.

Noviden and MealEasy Do Not Provide Medical or Dietary Advice

This Service does not provide medical, dietary or health related advice of any form, and it is your responsibility to obtain such advice from your own medical and health professionals and dietitians. You shall also be responsible for your own careful review of food ingredients to ensure that you and those you serve are not subjected to allergic reactions or other detrimental effects. Noviden and its shareholders, employees and representatives shall not be responsible in any way for the medical, health, dietary, or other results you may experience by using the meal plans and related services which are part of the MealEasy Service.

Your Guarantee and Declaration About Your Information

You guarantee and declare to Noviden as follows:

  1. That all information you provide to Noviden is accurate, including but not limited to your address and residency information;
  2. That you are not a registrant for the Goods and Services Tax (GST) or Harmonized Sales Tax (HST) in Canada; and
  3. That if you are a resident of Canada, you will only use the Service in your province of residency, and if you are not a resident of Canada you will only use the Service outside of Canada.

Account Terms

  1. The Service is an online subscription based web site, accessible only via the Internet.
  2. You must be 13 years or older to use this Service.
  3. You must provide your legal full name, a valid email address, and any other information requested in order to complete the signup process.
  4. Your login may only be used by one person – a single login shared by multiple people is not permitted.
  5. You are responsible for maintaining the security of your account and password. Noviden cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.
  6. You are responsible for all Content posted and activity that occurs under your account.
  7. Accounts registered by automated methods are not permitted.
  8. One person or legal entity may not maintain more than one trial account.
  9. You may not use the Service for any illegal or unauthorized purpose. You must not, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws).

Payment and Refunds Terms

  1. A valid credit card is required for paying accounts. All credit card payments for new subscribers are pre-authorized by our system.
  2. New subscriptions may be purchased as either a monthly recurring term charged at a standard rate of $7.95 USD plus applicable taxes (billed monthly until cancelled), or on a one-year non-recurring term at $89 USD plus applicable taxes.
  3. Subscriptions are billed in advance for the service being purchased.
  4. All posted fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, and you shall be responsible for payment of all such taxes, levies, or duties. Appropriate taxes, levies, or duties will be calculated and added on to your bill in accordance with the local address you provided.
  5. All new Subscriptions carry a 10-day Satisfaction Guarantee. If you are not completely satisfied with MealEasy, cancel your subscription within 10 days to receive a full refund.
  6. All new Weight Loss Meal Plan subscriptions carry a 90 day money back guarantee. If in 90 days you have not lost a notable amount of weight, while consistently utilizing the planner, Noviden Technologies Inc. will refund the amount of the original subscription cost (excluding tax, if applicable). This guarantee is at the discretion of Noviden, subject to verification of the usage of the Weight Loss meal planner based on our usage log records.

Cancellation and Termination

  1. You are solely responsible for properly cancelling your account. An email or phone request to cancel your account is not considered cancellation. You can cancel your account at any time by clicking on the “My Account” link in the global navigation bar at the top of the screen. The “My Account” screen provides a simple “no questions asked” cancellation link.
  2. All of your Content will be immediately deleted from the Service upon cancellation, subject to our retention of our records of your account as we may require to satisfy any potential legal obligations we may have. This information cannot be recovered once your account is cancelled.
  3. For subscribers, if you cancel the Service before the end of your current paid up term, your cancellation will take effect immediately and you will not be charged again.
  4. Noviden, in its sole discretion, has the right to suspend or terminate your account and refuse any and all current or future use of the Service, or any other Noviden service, for any reason at any time. Such termination of the Service will result in the deactivation or deletion of your Account or your access to your Account, and the forfeiture and relinquishment of all Content in your Account. Noviden reserves the right to refuse service to anyone for any reason at any time.

Service Modifications and Prices

  1. Noviden reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice.
  2. Prices of all Services, including but not limited to monthly, quarterly or yearly subscription plan fees to the Service, are subject to change upon 30 days notice from us. Such notice may be provided at any time by posting the changes to the MealEasy Site (www.mealeasy.com) or the Service itself.
  3. Noviden shall not be liable to you or to any third party for any modification, price change, suspension or discontinuance of the Service.

Copyright and Content Ownership

  1. We claim no intellectual property rights over the material you provide to the Service, except that we shall have the non-exclusive and perpetual right to publish, make available and reproduce such material.
  2. Noviden does not pre-screen Content, but Noviden and its designee have the right (but not the obligation) in their sole discretion and without cause to refuse or remove any Content that is available via the Service.
  3. The look and feel of the Service and all other intellectual property and trademarks used by the Service are owned exclusively by or licensed to Noviden Technologies Inc. You may not duplicate, copy, or reuse any portion of the HTML/CSS, visual design elements, the MealEasy trademark or any other intellectual property associated with the Service or the MealEasy website without express written permission from Noviden.

General Conditions

  1. Your use of the Service is at your sole risk. The Service is provided on an “as is” and “as available” basis.
  2. Technical support is only provided to paying account holders and is only available via email.
  3. You understand that Noviden uses third party vendors and hosting partners to provide the necessary hardware, software, networking, storage, and related technology required to run the Service. Noviden does not guarantee the performance of any third party vendors and hosting partners.
  4. You must not modify, adapt or hack the Service or modify another website so as to falsely imply that it is associated with the Service, Noviden, or any other Noviden service.
  5. You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, or access to the Service without the express written permission of Noviden.
  6. We may, but have no obligation to, remove Content and Accounts containing Content that we determine in our sole discretion are or may be unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable or violate any party’s intellectual property or these Terms of Service.
  7. Verbal, physical, written or other abuse (including threats of abuse or retribution) of any Noviden customer, employee, member, or officer will result in immediate account termination.
  8. You understand that the technical processing and transmission of the Service, including your Content, may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices.
  9. You must not upload, post, host, or transmit unsolicited email, or “spam” messages.
  10. You must not transmit any worms or viruses or any code of a destructive nature.
  11. If your bandwidth usage significantly exceeds the average bandwidth usage (as determined solely by Noviden) of other MealEasy customers, we reserve the right to immediately disable or throttle (limit or restrict use of) your account.
  12. Noviden does NOT warrant that (i) the Service will provide any health or dietary benefits to you; (ii) the Service will meet your specific requirements or expectations, (iii) the Service will be uninterrupted, timely, secure, or error-free, (iv) the results that may be obtained from the use of the Service will be accurate or reliable, (v) the quality of any products, services, information, or other material purchased or obtained by you through the Service, or (vi) any errors in the Service will be corrected.
  13. YOU EXPRESSLY UNDERSTAND AND AGREE THAT NOVIDEN SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR BODILY INJURY, HEALTH EFFECTS OR DETRIMENT, LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF NOVIDEN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), WHICH EXCEED THE LAST 12 MONTHS OF FEES PAID BY CUSTOMER UNDER HIS/HER ACCOUNT, RESULTING FROM: (I) ANY HEALTH, MEDICAL, DIETARY, ALLERGIC OR SIMILAR OUTCOMES, RESULTS OR LACK OF OUTCOMES OR RESULTS FROM ANY USE OR MISUSE OF THE SERVICE; (II) THE USE OR THE INABILITY TO USE THE SERVICE; (III) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES; (IV) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (V) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICE; (VI) OR ANY OTHER MATTER RELATING TO THE SERVICE.
  14. The failure of Noviden to exercise or enforce any right or provision of the Terms of Service shall not constitute a waiver of such right or provision. The Terms of Service constitute the entire agreement between you and Noviden and govern your use of the Service, superseding any prior agreements between you and Noviden (including, but not limited to, any prior versions of the Terms of Service).
  15. These Terms of Service and all use of the MealEasy Service shall be solely and strictly subject to the laws of Nova Scotia and the laws of Canada applicable in Nova Scotia, and any and all disputes shall be exclusively subject to the courts of Nova Scotia, without regard to conflicts of law.

When you use the mealeasy.com web site (“MealEasy”), you consent to the use of your personal information in accordance with this Privacy Policy.

Your Privacy

MealEasy respects your privacy. This Privacy Policy describes how we collect, use and disclose personal information. MealEasy recognizes the importance of obtaining consent where required by law for collection, use and disclosure of personal information. MealEasy intends to comply fully with Canada’s Personal Information Protection and Electronic Documents Act, commonly known as “PIPEDA”. This Privacy Policy does not govern personal information about our employees, which is addressed by other internal MealEasy policies. What Constitutes Personal Information?

  12. Newsletter subscription status (sign up activation or deactivation, name and email address)
  13. Email or chat request content
  14. Other information as required or permitted by law.

We also may collect the following information indirectly or automatically when using our Service or visiting our site:

  1. Log information including your IP address, the type of browser you use, the time, duration and frequency of your access, site pages viewed, and the page you visited prior to visiting our site.

  4. If you subscribe to MealEasy by referral from a professional health practitioner site (a “Practitioner Referred Subscription” or “PRS”), the name and contact information of the relevant practitioner and the type of practice.
  5. If you subscribe to MealEasy by referral from a third-party organization who licenses MealEasy (a “Licensee Referred Subscription” or “LRS”), an assigned username, password and the name and contact information of the relevant Licensee.
  6. Information Collected by Cookies and Other Tracking Technologies. Our Service and our service providers collect information using various technologies, including cookies and pixel tags (sometime referred to as pixels, clear GIFs or web beacons). Cookies are commonly required to be used by web services to facilitate operation and are small data files that get stored on your hard drive or device memory. Cookies help us improve our Service, your experience using our Service, and track usage of our Service. Pixel tags are digital images that may be used by our Service or emails, and track the usage of our Service and help us monitor the effectiveness of our communications.

The information above is generally collected from you, but we may also collect information as necessary from financial institutions and credit card companies for the purposes of processing your payments for our products and services.

Use of Personal Information

Your personal information may be used by us as permitted or required by law and for the following purposes:

  1. to provide our products and services to you;
  2. to personalize the Service to you, for example to use your meal preference to help suggest suitable meals to you when using our Service;
  3. to process invoices and your payment by credit card or any other billing options which we may make available;
  4. to communicate with you regarding your Service account with us including responding to your inquiries, customer follow up, providing relevant subscription information to you, to seek your input and to advise you about products and services of Noviden and MealEasy and affiliated companies, to conduct online surveys, and optionally to deliver newsletter information to you, but only your name, email, address and telephone number will be used for this purpose;
  5. if yours is a PRS, to provide to the relevant professional health practitioner (the “Practitioner”), until such time, if any, as you revoke access to the Practitioner, which you can do at any time by using the “My Account” section of the MealEasy.com website, your meal plans (including the ability to view and alter the meal plan), grocery list and/or meal plan preferences (such as the diet type, foods restrictions and calorie requirements), but excluding your “My Account” details. Once provided to the Practitioner, (i) this information can be used by the Practitioner in the course of providing professional services to you, as consented to from time to time by you as part of the professional relationship between you and the subscriber, and as such will no longer be subject to our control and will no longer be governed by this Privacy Policy; and (ii) MealEasy will not have any liability or responsibility to you in respect of the information disclosed to and thus under the control of the Practitioner;
  6. if yours is a LRS, the Licensee provider manages access to our system for your account. We provide a mechanism for Licensee to do so securely, including setting your login credentials (username/email, and password) and granting or revoking access;
  7. to analyze or monitor usage, trends and activities in connection with our Service;
  8. to perform administrative tasks, including accounting and manage or enforce legal claims; and
  9. to help prevent, detect and investigate fraudulent transactions, abuse of our Service and other illegal activities and to enforce compliance with our policies and to comply with applicable law and government requests.

Sharing Your Personal Information

We do not sell your personal information to third parties. We may share some or all of your personal information as required or permitted by law, as follows:

  1. to third party service providers and hosting partners who assist us with operating our Service and who provide the necessary hardware, software, networking, storage and related technology.   5. if yours is a PRS, to the relevant Practitioner as described earlier in this Privacy Policy;
  6. if yours is a LRS, to the relevant Licensee as described earlier in the Privacy Policy; and
  7. with your permission, we may allow others to use cookies, web beacons, device identifiers, and other technologies to collect information about your use of the Service as stated in our Cookies section below.

Aggregate Information

We may use aggregate information about our customers, without identifying such customers, for the purpose of research, improving our site, and reporting on trends and patterns of our customers and the use of the MealEasy Service.

The security of your personal information is important to us, and we use various technical, contractual, administrative and physical security measures to protect personal information that you provide to us. At any time you may contact us using the Contact Us information provide below to request a copy of the personal information we currently maintain regarding your Service account. You may also request modification to your personal information by contacting us, or by using the My Account section of our Service. To request deletion of your personal information you may also contact us to facilitate this request. Please note that records of financial transactions including purchases you may have made with respect to our Service are retained for 6 years, as required by Canadian Tax Laws.
